4. Payment Terms

4.1 Payment Schedule

Payment terms are specified in each project proposal or service agreement:

• Projects may require upfront payment or milestone-based payments
• Hosting and subscription services are billed monthly or annually
• All prices are in USD or PKR as specified
• Late payments may result in service suspension

4.2 Payment Methods

5. Intellectual Property Rights

5.1 Client Work

Upon full payment for services:

• Intellectual property rights for delivered work transfer to the client
• Client receives all source files and documentation
• Client has full rights to use, modify, and distribute the work

5.2 Third-Party Assets

Third-party assets, licenses, and software remain under their respective terms. Clients are responsible for ensuring compliance with third-party license agreements.

5.3 Portfolio Rights

Paperless Soft retains the right to display completed work in our portfolio and marketing materials unless otherwise agreed in writing.

6. Project Scope and Changes

Project scope is defined in the initial proposal or agreement:

• Changes to scope may result in additional charges and timeline adjustments
• All scope changes must be agreed upon in writing
• Original scope remains valid unless modified by mutual agreement

7. Client Responsibilities

Clients are responsible for:

• Providing accurate and complete project requirements
• Timely feedback and approvals
• Providing necessary access credentials and resources
• Ensuring content provided is legal and does not infringe on third-party rights
• Backing up their data and content

8. Service Availability

While we strive to maintain high service availability:

• We do not guarantee uninterrupted or error-free service
• Services may be temporarily unavailable due to maintenance or technical issues
• We are not liable for delays caused by third-party services or factors beyond our control

9. Limitation of Liability

To the maximum extent permitted by law:

• Paperless Soft's total liability shall not exceed the amount paid by the client for the specific service
• We are not liable for indirect, incidental, or consequential damages
• We are not responsible for client's business losses or lost profits
• Clients are responsible for backing up their data

10. Termination

Either party may terminate services:

• With written notice as specified in the service agreement
• Immediately for breach of terms or non-payment
• Upon termination, client is responsible for payment of work completed
• We reserve the right to suspend services for non-payment

11. Confidentiality

We maintain strict confidentiality regarding:

• Client business information and data
• Project details and requirements
• Proprietary information shared during projects
• We do not disclose client information to third parties without consent

12. Prohibited Uses

You agree not to use our services for:

• Any illegal activities or purposes
• Transmitting malicious code or viruses
• Spam, phishing, or fraudulent activities
• Infringing on intellectual property rights
• Any activity that violates applicable laws

13. Modifications to Terms

We reserve the right to modify these terms at any time:

• Changes will be posted on this page with an updated date
• Continued use of services after changes constitutes acceptance
• Material changes will be communicated to active clients

14. Governing Law

These terms are governed by the laws of Pakistan. Any disputes shall be resolved through negotiation, and if necessary, through the appropriate courts of Lahore, Pakistan.
